Confidentiality-led Structuring for International and High-net-worth Clients

Some clients need a company administered day to day. Others need their involvement in it kept off the public record entirely. Auditnet arranges nominee shareholders, nominee directors and asset-holding structures through our licensed associates, distinct from the ongoing governance work covered on our Company Administration page.

What we do

Our Fiduciary Services

Confidentiality-led structuring, nominee arrangements and asset-holding vehicles for international and high-net-worth clients, arranged through our licensed associates.

Nominee Shareholder Services

For clients who want their beneficial ownership kept off the public shareholder register at the Registrar of Companies, we arrange nominee shareholder services through our associates, with your ownership documented and protected by a declaration of trust. This does not remove the obligation to register beneficial ownership on Cyprus’s UBO register, access to which is itself restricted to parties with a legitimate interest.

Nominee Director Services

A nominee director provides privacy and, where relevant, a Cyprus-resident presence that supports the company’s tax residency position, a different purpose from the corporate director appointed for administrative continuity under Company Administration.

Confidentiality and Privacy Structuring

For clients who want their involvement in a company or structure kept out of public records, we design the arrangement, powers of attorney and trust declarations, structured within the bounds of Cyprus and EU disclosure law rather than around it.

Asset-holding Structures

Cyprus companies are commonly used to hold shares, real estate, intellectual property or investment portfolios on behalf of an individual or family. We structure and administer these asset-holding vehicles, including where they form part of a wider succession plan.

International and High-net-worth Client Structuring

Cyprus’s confidentiality framework, tax treaty network and EU membership combine well for international investors and high-net-worth families structuring across borders, work that connects directly to our International Clients hub.

Frequently Asked
Questions

What's the difference between Fiduciary Services and Company Administration?

Company Administration covers the ongoing, compliance-led governance a trading company needs, registered office, filings, board administration. Fiduciary Services covers confidentiality-led structuring for international and high-net-worth clients, nominee shareholders, nominee directors and asset-holding arrangements. The two are related but serve different purposes.

Does a nominee shareholder hide who really owns the company?

A nominee shareholder keeps your name off the public shareholder register at the Registrar of Companies. It does not remove the requirement to register beneficial ownership on Cyprus's UBO register under anti-money laundering law, though access to that register is itself restricted to parties who can show a legitimate interest.

Why would someone use a nominee director?

Common reasons include privacy, and supporting the company's Cyprus tax residency position by ensuring management and control genuinely sits in Cyprus. It's a different role from the corporate director appointed for administrative continuity under Company Administration.

Can Auditnet hold assets like real estate or investments through a Cyprus company?

Yes. We structure and administer asset-holding companies for shares, real estate, intellectual property and investment portfolios, often as part of a wider succession plan alongside our Corporate Advisory team.

Is fiduciary services structuring legal and compliant?

Yes, when structured properly. Nominee and confidentiality arrangements are legitimate tools used widely in corporate structuring, provided they operate within Cyprus and EU disclosure law rather than around it, which is why our arrangements are documented and coordinated with legal counsel.
